A new national weekly newspaper aimed at the black middle class is planning to publish by the end of this year and hoping to build a circulation of 350,000 within five years. Our World News "will be the only national newspaper aimed at the black market," Donald L. Miller, the publisher, said. The paper is to be based in Baltimore, where Mr. Miller lives.

The opposition Democratic Union Coalition upset the former Communists in parliamentary elections on Sunday, winning 50 of the 76 seats in parliament, the General Election Committee said today. The former Communists, the ruling Mongolian People's Revolutionary Party, took 25 seats, according to the final tally. The Conservative Party won the remaining seat.

The Rockwell International Corporation said yesterday that it would acquire the Brooktree Corporation for $15 a share in cash, or about $275 million. Rockwell plans to take a one-time charge estimated at $120 million, when it completes the acquisition, for research and development that is in progress. Brooktree, based in San Diego, manufactures high-performance digital and mixed-signal integrated circuits for computer graphics, multimedia, imaging and communications applications. It had sales of $138 million in the 1995 fiscal year and has about 575 employees. Rockwell has operations in automation, avionics, aerospace, military electronics, semiconductor systems and automotive component systems. Rockwell's stock fell 75 cents, to $56.625.

The Kemet Corporation, a maker of electronic components, said yesterday that it was not interested in merger talks with Vishay Intertechnology Inc. Vishay had proposed a deal with a potential value of $1 billion. Kemet said that its "strong future prospects as an independent company make discussions with Vishay not in the best interests" of the company or its shareholders. Kemet, which is based in Greenville, S.C., said that it had adopted a shareholders' rights plan that would hamper a takeover move. Kemet makes capacitors -- indispensable components found in wristwatches, cellular phones and computers that control the flow of current in electronic circuits. Vishay, which is based in Malvern, Pa., also makes capacitors.

Tyco International Ltd. said yesterday that it had acquired Thorn Security Group Ltd., a British fire alarm and security systems company, for $214 million. Tyco, a diversified manufacturer based in Exeter, N.H., is already the world's largest manufacturer and installer of fire-protection systems. Thorn Security, based in Sunbury-on-Thames, England, was sold by Thorn EMI P.L.C., Hambro European Ventures Ltd. and the management at Thorn Security. Thorn Security has annual sales of about $300 million. Tyco makes disposable medical products, packaging materials, flow-control products, and electrical and electronic components. It operates in more than 50 countries and has more than $5 billion in revenues.

The Precision Castparts Corporation of Portland, Ore., agreed yesterday to buy the Newflo Corporation, a pump and valve maker, for $300 million, of which $100 million represents the assumption of Newflo debt. Precision Castparts plans to finance the Newflo purchase with $400 million in credit provided by the Bank of America National Trust and Savings Association and Goldman, Sachs & Company. The company said the acquisition would reduce its dependence on the aerospace industry. Newflo, based in Austin, Tex., would become a unit of Precision Castparts. Newflo makes industrial fluid-handling products such as pumps, valves and measuring instruments. It had sales of $216 million in 1995.

Winstar Communications Inc. said yesterday that it would buy Milliwave L.P., a company with wireless communications licenses reaching a potential 160 million customers, for $125 million. Winstar, a telecommunications-services concern based in New York, agreed to pay $40 million in cash and $85 million in stock for the closely held firm. Winstar said it would help manage and develop Milliwave's licenses before the sale closes in 1997. Winstar said Milliwave's licenses would add more than 50 new markets to Winstar's operating territory. Winstar's stock rose $4.0625, or 16 percent, to close at $29 in trading on the Nasdaq.

The Pacific Gas and Electric Company, the nation's largest utility, said yesterday that it would pay $333 million to settle 650 claims related to groundwater said to be contaminated in the 1950's and 1960's by a gas pumping station near Barstow, Calif. The plaintiffs contended they suffered a variety of diseases including lung, stomach and kidney cancer as a result of drinking the groundwater. The agreement calls for Pacific Gas to pay a total of $333 million to a fund to be divided among the plaintiffs. That amount includes $50 million the company has already paid, and $150 million it set aside earlier to cover the claims. Pacific Gas, based in San Francisco, agreed to submit the cases to binding arbitration in September 1994 with a maximum cap of $400 million.
