The Medical Manager Corporation, an Internet company and software maker focusing on the health-care market, agreed yesterday to buy Physician Computer Network Inc. for $53 million in cash and stock. Physician Computer, a seller of software for doctors' offices, said it had filed for Chapter 11 bankruptcy protection. The company, based in Morris Plains, N.J., said its reorganization plan included the sale of its assets to Medical Manager. Medical Manager, based in Elmwood Park, N.J., said it would pay $15.5 million in cash and $37.5 million in stock. It will also assume an undisclosed amount of liabilities of Physician Computer.

The Swiss Reinsurance Company, the world's second-largest reinsurer, will buy Underwriters Re Group Inc. of the United States for $725 million, doubling its revenue from underwriting property and casualty insurers in the American market, the world's largest. Swiss Re will buy Underwriters Re, based in Calabasas, Calif., from the Alleghany Corporation for cash. Last year, Underwriters Re had premiums of $549 million and assets of $1.7 billion. Alleghany, which is based in New York and has interests ranging from insurance to importing steel fasteners, is increasingly focusing on money management.

Concord EFS Inc., a credit card transaction-processing company, agreed yesterday to buy Card Payment Systems for about $179.8 million in stock to add new customers. Concord will issue 6.2 million shares of common stock to acquire closely held Card Payment Systems, known as C.P.S., which is based in New York. C.P.S. provides payment-processing services to independent sales organizations, which sell those services to retailers. The purchase will add a new distribution area for Concord, based in Memphis, which is a provider of electronic transaction authorization to supermarket chains, convenience stores and other retailers and runs the MAC automated teller network. The shares of Concord fell $1, to $28, yesterday.

The New York Life Insurance Company, the seventh-largest life insurer in the United States, said yesterday that it would pay $570 million to acquire Mexico's third-largest insurer, Seguros Monterrey Aetna S.A., from Grupo Financiero Bancomer S. A. and Aetna Inc. to expand its business in Mexico. Bancomer, Mexico's second-largest banking group, said it would receive $290 million for its 51 percent stake in the insurance venture. New York Life gains a subsidiary that sells life, health, property and casualty policies in a growing insurance market where insurance premiums proportional to economic output are less than in other Latin American countries. Aetna rose $1.8125, to $59.5625. Seguros Monterrey has 23 percent of Mexico's individual life insurance business.

The Semtech Corporation, a maker of analog and mixed-signal semiconductors, said it had bought the closely held USAR Systems Inc. for about $27 million in stock to add to its business in portable computers. Semtech exchanged 495,000 shares of common stock for all outstanding shares of USAR, which is based in New York. USAR makes embedded devices for notebook and hand-held computers.

The Hexcel Corporation, the No. 1 United States maker of aerospace materials, said yesterday that it had retained an adviser to explore alternatives for its aircraft structures and interiors unit, including a possible sale. Hexcel, based in Stamford, Conn., hired Credit Suisse First Boston to consider options. Hexcel acquired the Engineered Products unit as part of its 1996 purchase of the composites business of Ciba-Geigy. It makes interior components for commercial and military aircraft, including a stowage-bin expansion kit to bolster carry-on luggage capacity. The shares in Hexcel, which had 1998 sales of $1.09 billion, have fallen about 35 percent in the last year. They slipped 6.25 cents yesterday, to $5.50.

The Citadel Communications Corporation, the largest American radio broadcaster in midsize markets, said yesterday that it had agreed to buy 11 radio stations in Michigan and Massachusetts in two separate transactions for $145 million. Citadel will pay $120.5 million in cash and stock for nine Michigan radio stations from the closely held Liggett Broadcast Inc., exchanging 200,000 of its shares, valued at $10.1 million, and the remainder in cash. It will pay $24.5 million to the closely held Montachusett Broadcasting Inc. for two Massachusetts stations. Citadel, based in Las Vegas, has been expanding in regions like New England to better compete with rivals like Infinity Broadcasting and Clear Channel Communications. Citadel shares fell 93.75 cents, to $49.8125.

U.S. Bancorp, Minnesota's largest bank, warned yesterday that its profit for the fourth quarter and next year would not meet expectations. The stock fell as much as 28 percent. The bank, which is based in Minneapolis, said fourth-quarter earnings would be 52 to 54 cents a share, shy of the average analyst estimate of 59 cents. The bank's stock fell $9.75, to $25.375, in trading of 12.1 million shares.

The Electronic Data Systems Corporation plans to sell its community banking-services business to the closely held Chicago investment firm Willis Stein & Partners L.P. The two companies have not agreed on a sale price, an E.D.S. spokeswoman said. The E.D.S. unit, which had $142 million in sales last year, provides computer services to about 500 small independent banks. After the sale, the division will be based in Dallas and operate as an independent company. E.D.S. shares fell $3.25 each, to $66.75, in New York Stock Exchange trading. The announcement was made after the close of United States markets.
